1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (either an individual or entity, "Customer", "you", or "your") and Certifyport Limited ("Company", "we", "us", or "our") concerning your access to and use of the Captaincall platform ("Service" or "Platform").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

2. Description of Service

Captaincall is a cloud-based transport management system designed specifically for film production companies. The Service provides tools for managing:

  • Delivery requests and coordination
  • Cast trip scheduling and management
  • Cross-load logistics between production units
  • Invoice generation and management
  • Fleet and driver management
  • Team member coordination and communication

3. Account Registration and Eligibility

3.1 Account Creation

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

3.2 Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.3 Organization Accounts

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the organization's agreement.

4. Subscription and Payments

4.1 Subscription Plans

Captaincall operates on a subscription-based model. Various subscription plans are available with different features and pricing. Current pricing is available on our website or by contacting our sales team.

4.2 Billing

  • Billing Cycle: Subscriptions are billed on a monthly or annual basis as selected by you
  • Payment Method: You must provide valid payment information (credit card or other accepted payment method)
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless cancelled
  • Price Changes: We reserve the right to change our pricing with 30 days' notice. Changes will take effect at your next renewal date

4.3 Taxes

All fees are exclusive of applicable taxes (including VAT where applicable). You are responsible for all taxes associated with your use of the Service.

4.4 No Refunds

Payments are non-refundable except as required by law or as otherwise specified in these Terms. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.

5. Cancellation and Termination

5.1 Cancellation by Customer

You may cancel your subscription at any time through your account settings or by contacting us. Your cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until that date.

5.2 Termination by Company

We reserve the right to suspend or terminate your access to the Service at any time if:

  • You breach these Terms
  • Payment fails or your account is past due
  • Your use of the Service poses a security risk or could adversely impact our systems
  • You engage in fraudulent, illegal, or abusive behavior
  • We are required to do so by law

5.3 Effect of Termination

Upon termination or cancellation:

  • Your access to the Service will cease
  • You must pay any outstanding fees owed
  • We will retain your data for 90 days, after which it will be permanently deleted
  • You may request a data export during the 90-day retention period

6. Your Data and Content

6.1 Customer Data Ownership

You retain all rights, title, and interest in and to any data, content, or information you upload, submit, or transmit through the Service ("Customer Data"). We do not claim ownership of your Customer Data.

6.2 License to Use Customer Data

You grant us a limited license to access, process, and store your Customer Data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or terminate your account (subject to our retention period).

6.3 Data Use for Service Improvement

We may use aggregated, anonymized data derived from Customer Data to improve our Service, develop new features, and conduct analytics. This anonymized data does not identify you or your organization.

6.4 Your Responsibilities

You are solely responsible for:

  • The accuracy, quality, and legality of your Customer Data
  • Obtaining all necessary rights, permissions, and consents for data you submit
  • Compliance with all applicable data protection laws (including UK GDPR)
  • Maintaining backups of your important data

7. Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate the intellectual property rights of others
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service
  • Share your account credentials with unauthorized persons
  • Resell, redistribute, or sublicense the Service without permission
  • Remove or alter any proprietary notices or labels
  • Use the Service to compete with us or develop a competing product

8. Intellectual Property Rights

8.1 Company IP

The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by or licensed to Certifyport Limited and is protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only.

8.3 Trademarks

"Captaincall" and related logos are trademarks of Certifyport Limited. You may not use these trademarks without our prior written permission.

9. Service Availability and Support

9.1 Service Availability

While we strive to provide continuous availability, we do not guarantee that the Service will be uninterrupted or error-free. We may perform scheduled maintenance and updates that may temporarily affect availability.

9.2 No Service Level Agreement

Unless specified in a separate written agreement, we do not provide any service level agreement (SLA) guarantees. Enterprise customers may negotiate separate SLA terms.

9.3 Support

We provide customer support via email. Response times may vary depending on your subscription plan and the nature of your inquiry.

10. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERTIFYPORT LIMITED SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Business interruption or loss of business opportunities
  • Any damages arising from your use or inability to use the Service

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded or limited under UK law

11. Indemnification

You agree to indemnify, defend, and hold harmless Certifyport Limited and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your Customer Data or any content you submit
  • Your violation of any third-party rights

12. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in accordance with UK GDPR and data protection laws. By using the Service, you consent to such processing and warrant that all data you provide is accurate.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date at the top of this page
  • Sending an email notification to your registered email address (for significant changes)

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also bring proceedings in the courts of the country where you live.

If you have any concerns or disputes about the Service, please contact us first at info@captaincall.uk. We will work in good faith to resolve the matter amicably.

For consumer disputes, you may also use the UK's Online Dispute Resolution platform or contact Citizens Advice consumer service.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Certifyport Limited regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, or failures of third-party services.
